The terms on which KEEL TECHNOLOGY VIETNAM CO., LTD., trading as Carina Coffee Beans, supplies coffee and operates this website.
Carina Coffee Beans is a trading brand of KEEL TECHNOLOGY VIETNAM CO., LTD. ("Carina Coffee Beans", "we", "us"), a company registered in Vietnam with its office at No. 179, Residential Group 3, Da Sy, Kien Hung Ward, Hanoi City, Vietnam.
These Terms and Conditions govern the use of this website and the sale of coffee and related goods by us to you. By placing an order you accept these terms. Where a signed sales contract exists between us and it conflicts with these terms, the signed contract prevails.
"Goods" means the green or roasted coffee and any related products we agree to supply. "Order" means your written request to purchase Goods. "Quotation" means a written offer issued by us. "Contract" means an accepted Order together with these terms and any signed sales contract. "Business day" means a day other than a Saturday, Sunday or public holiday in Vietnam.
We do not publish price lists. Coffee is an agricultural commodity whose price moves with the origin market, harvest conditions and exchange rates, so every product in our catalog is quoted on enquiry against your volume, specification and delivery terms.
Prices are quoted in US dollars per kilogram, FOB a Vietnamese port unless stated otherwise, and exclude freight, insurance, import duties, local taxes and customs clearance charges.
A binding price is only the one stated in a written Quotation issued to you. Unless the Quotation says otherwise, it remains valid for 30 calendar days from its date and is subject to the Goods remaining unsold and available.
A Contract is formed when we confirm your Order in writing, or when we issue a proforma invoice that you accept, whichever happens first. We may decline any Order.
Minimum order quantities are stated per product in the catalog. Orders below the stated minimum may be accepted at our discretion.
Agricultural goods cannot be delivered to an exact weight. Unless agreed otherwise, we may deliver up to 5% more or less than the ordered quantity, and the invoice is adjusted to the quantity actually shipped.
Unless agreed otherwise in writing, payment is made in advance by telegraphic transfer against our proforma invoice. Goods are booked for shipment once payment has been received and cleared.
All bank charges outside Vietnam are for your account. Payment must be made without set-off or deduction. Where payment is not received, we may release the allocated Goods to another buyer.
Delivery terms follow the Incoterms rule stated in the Quotation or sales contract, interpreted in accordance with Incoterms® 2020. Our default terms are FOB a Vietnamese port.
Lead times are estimates given in good faith and are not of the essence. Typical lead times are 10 to 21 days for green coffee held in stock and 21 to 35 days for roast-to-order and private-label production, counted from receipt of cleared payment.
Risk in the Goods passes to you at the point determined by the agreed Incoterms rule. Title in the Goods does not pass to you until we have received payment in full.
We grade and cup each lot before shipment and issue a quality analysis sheet covering moisture content, defect count, screen size and cupping score.
You must inspect the Goods on arrival. Claims relating to quantity, visible damage or apparent quality must reach us in writing within 14 calendar days of the Goods arriving at the destination port, together with photographs, weight records and, where relevant, an independent surveyor report. Claims relating to latent quality defects must reach us within 30 calendar days of arrival.
Claims made after those periods, or relating to Goods that have been roasted, blended, repacked, resold or stored in unsuitable conditions, cannot be accepted. Where a claim is accepted, our liability is limited to replacing the affected quantity or refunding the price paid for it, at our option.
Coffee is hygroscopic and perishable. You are responsible for storage conditions after risk passes to you, including temperature, humidity and protection from odour transfer.
Once an Order is confirmed it may not be cancelled or reduced without our written agreement. Where we agree to a cancellation, you remain responsible for costs already incurred, including green coffee purchased against your Order, roasting or packaging production already run, printed private-label materials, and booking or storage charges.
Requests to change specification, packaging or delivery date after confirmation are subject to our agreement and may change the price and lead time.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including crop failure, extreme weather, plant disease, fire, flood, epidemic, war, civil unrest, strikes, port congestion or closure, shipping line cancellations, container shortages, failure of utilities, or acts of government including export restrictions and changes in duty.
If such an event continues for more than 60 days, either party may cancel the affected part of the Contract in writing, and we will refund any amount paid for Goods not delivered.
You are responsible for ensuring that the Goods may lawfully be imported into the destination country and for obtaining any import licence, registration or approval required, including food safety and labelling compliance in your market.
You confirm that you will not resell or divert the Goods in breach of any applicable export control, customs or sanctions law. We may refuse or suspend any Order that we reasonably believe would place us in breach of such laws.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that, our total liability arising out of or in connection with any Contract, whether in contract, tort, breach of statutory duty or otherwise, is limited to the invoice value of the Goods giving rise to the claim.
We are not liable for loss of profit, loss of business, loss of contracts, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss, however arising.

We try to keep information on this website accurate and current but do not warrant that it is free from error or omission.
Each party will keep confidential any non-public commercial information disclosed by the other in connection with a Contract, including pricing, supplier relationships and customer lists, and will use it only for the purposes of the Contract. This obligation continues for three years after the Contract ends.
These terms and any Contract are governed by the laws of the Socialist Republic of Vietnam.
The parties will first attempt to resolve any dispute by good-faith negotiation. Any dispute not resolved within 30 days may be referred to the Vietnam International Arbitration Centre (VIAC) in Hanoi under its rules of arbitration. The arbitration will be conducted in English by one arbitrator, and the award is final and binding.
We may update these terms from time to time. The version published on this website at the date your Order is confirmed applies to that Order. The date of the current version is shown at the top of this page.
